Subscription Agreement

This Subscription Agreement (“Agreement”) is entered into as of Date & Time payment is made for enrolment, by and between Arrow Meadow Fisheries Limited (“Company”) and the member (“Subscriber”).

1. Subscription Services

1.1 Company agrees to provide Subscriber with access to the following subscription services (“Services”):

• Syndicate Membership to Arrow Meadow Fisheries Venues; as stipulated at the time of enrolment.

1.2 Subscriber agrees to use the Services solely for its internal business purposes and in accordance with applicable laws and Company’s usage policies.

2. Subscription Term

2.1 The initial term of this Agreement shall commence on day & time of first payment to Arrow Meadow Fisheries Limited. Following enrolment, this Agreement shall automatically renew, taking ‘fixed’ recurring payments for successive periods either quarterly, 6 monthly or annually (as prescribed by the member) unless either party provides written notice of termination at least 30 days prior to the end of the then-current term.

3. Fees and Payment

3.1 Subscriber agrees to pay Company the subscription fees (“Fees”) as detailed at the time of enrolment:

4. Intellectual Property

4.1 All intellectual property rights in the Services, including but not limited to software, content, and documentation, remain the property of Company. Subscriber shall not reverse engineer, decompile, or disassemble the Services.

5. Confidentiality

5.1 Both parties agree to maintain the confidentiality of any confidential information disclosed during the term of this Agreement.

6. Termination

6.1 Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement.

7. Limitation of Liability

7.1 In no event shall either party be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to this Agreement.

8. Governing Law

8.1 This Agreement shall be subject to and interpreted in accordance with the laws of England.

9. Entire Agreement

9.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein.

Partial Refund Clause:

“In the event of cancellation by Syndicate member before the end of the subscription term, member may be entitled to a prorated refund for the unused portion of the subscription term, less £75.00 admin fee, at the sole discretion of the Company. No refund will be considered within first 90 days. 

In the event of cancellation by Subscriber before the end of the subscription term, Subscriber may be entitled to a prorated refund for the unused portion of the subscription term, at the sole discretion of the Company. The prorated refund shall be calculated based on the number of days remaining in the subscription term from the date of cancellation, divided by the total number of days in the subscription term, multiplied by the original subscription fee.

Subscriber acknowledges and agrees that certain fees, including but not limited to setup fees, administration fees, or any other non-recurring charges, are non-refundable and shall not be included in the calculation of the prorated refund.

The Company reserves the right to withhold or deny any refund request that does not meet the criteria outlined in this clause or is deemed ineligible at the sole discretion of the Company. Refund requests must be submitted in writing to the Company within [number of days] days of the cancellation date.

This partial refund policy is subject to change by the Company at any time without prior notice. Any updates or modifications to the refund policy will be communicated to Subscribers via email or through the Company’s website.”
